Agreement to Terms

By accessing or using the website sealwright.com or purchasing services from Sealwright LLC (“Sealwright,” “we,” “us,” or “our”), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use our website or services.

Description of Services

Sealwright LLC provides New York LLC formation services, including:

  • Filing Articles of Organization with the New York Department of State
  • EIN (Employer Identification Number) acquisition from the IRS
  • Registered Agent service (1 year included)
  • Compliance Calendar
  • Certificate of Good Standing

We act as a filing agent on your behalf. We are not a law firm and do not provide legal, tax, or financial advice. If you need legal advice, consult a licensed attorney.

Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use our services. By placing an order, you represent that you meet these requirements.

Orders and Payment

  • All orders are subject to acceptance and verification by Sealwright LLC
  • The current service price is $299, which includes the New York State filing fee ($200)
  • Payment is processed securely through Stripe at the time of order
  • Prices are subject to change without notice; the price at the time of your order applies to your order
  • We reserve the right to refuse or cancel any order for any reason

Accuracy of Information

You are solely responsible for the accuracy, completeness, and legality of all information you provide. We file documents based on the information you give us. We are not liable for errors, delays, or rejections caused by inaccurate, incomplete, or misleading information provided by you.

If the New York Department of State rejects a filing due to information you provided, we will notify you and attempt to correct and refile at no additional service charge, though additional state fees may apply.

Processing Times

We submit filings promptly, typically within 24–48 business hours of receiving your order. However, actual processing times depend on the New York Department of State and the IRS, which are outside our control. We do not guarantee specific completion dates.

Text Messages

If you provide your phone number and separately opt in to receive text messages during the order process, you consent to receive SMS messages from Sealwright LLC regarding your order status.

  • Message frequency varies based on order activity (typically 2–5 messages per order)
  • Standard message and data rates may apply
  • Consent to receive text messages is not a condition of purchase
  • You may opt out at any time by replying STOP to any message
  • Reply HELP for assistance
  • We do not send marketing, promotional, or advertising messages
  • Your mobile information will not be sold or shared with third parties for promotional or marketing purposes

Refund Policy

  • Before processing begins: Full refund of the $299 service fee available upon request
  • After filing is submitted to NY DOS: The $200 state filing fee is non-refundable as it has been paid to the state; the $99 service fee may be refundable on a case-by-case basis
  • After filing is approved: No refund, as services have been fully rendered

Registered Agent Service

Your order includes one (1) year of Registered Agent service at our Albany, NY address. This means:

  • We will receive service of process and official correspondence on behalf of your LLC
  • We will forward all received documents to you promptly
  • The service automatically expires after one year unless renewed
  • We will notify you before expiration and provide renewal options

Limitation of Liability

To the maximum extent permitted by law:

  • Sealwright LLC is not liable for delays caused by government agencies, postal services, or circumstances beyond our reasonable control
  • We are not liable for errors in publicly available data or government databases
  • Our total liability for any claim arising from or related to our services is limited to the amount you paid for the specific service in question
  • We are not liable for any indirect, incidental, special, consequential, or punitive damages

Indemnification

You agree to indemnify, defend, and hold harmless Sealwright LLC, its owners, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising from your use of our services, your breach of these terms, or the information you provide to us.

Intellectual Property

All content on sealwright.com, including text, graphics, logos, and software, is the property of Sealwright LLC or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without written permission.

Third-Party Services

Our website may contain links to third-party websites or services (e.g., Stripe for payments, NY Department of State). We are not responsible for the content, privacy practices, or availability of these third-party services.

Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes take effect when posted on this page with an updated effective date. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.

Governing Law & Disputes

These terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from or relating to these terms or our services shall be resolved in the state or federal courts located in Albany County, New York.

Disclaimer of Warranties

Our services are provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our website will be uninterrupted, error-free, or secure.

Not a Law Firm

Sealwright LLC is not a law firm, accounting firm, or fiduciary. We provide document preparation and filing services only. No attorney-client relationship, accountant-client relationship, or fiduciary relationship is created by your use of our services. The information on our website is for general informational purposes only and does not constitute legal, tax, or financial advice. You should consult a licensed attorney, accountant, or financial advisor for advice specific to your situation.

Acceptable Use

You agree not to use our website or services to:

  • Provide false, misleading, or fraudulent information
  • Form an LLC for any illegal purpose
  • Attempt to gain unauthorized access to our systems or data
  • Interfere with or disrupt the operation of our website
  • Scrape, copy, or reproduce our content without permission

We reserve the right to refuse service and cancel orders if we believe these terms are being violated.

Force Majeure

Sealwright LLC shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics, government actions or orders, internet or telecommunications failures, power outages, strikes, or delays by the New York Department of State or other government agencies.

Dispute Resolution

In the event of any dispute, claim, or controversy arising from or relating to these terms or our services, you agree to first attempt to resolve the dispute informally by contacting us at andrew@sealwright.com. We will attempt to resolve the dispute within 30 days.

If the dispute is not resolved informally, either party may pursue binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in Albany County, New York. The arbitrator's decision shall be final and binding.

Class action waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against Sealwright LLC.

Time Limitation on Claims

Any claim or cause of action arising from or related to your use of our services must be filed within one (1) year after the cause of action arises. Claims filed after this period are permanently barred.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and SMS Consent Policy, constitute the entire agreement between you and Sealwright LLC regarding your use of our services. These terms supersede all prior agreements, understandings, and representations.

Severability

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
